Terms of Service

These terms are an agreement between you and ZKN Consulting LLC (“we”, “us”, “our”), an Iowa, USA limited liability company. We operate Briefworth, a web app that turns client briefs into proposals, available at briefworth.com (the “Service”).

By creating an account or using the Service, you agree to these terms, our Privacy Policy, and our Refund Policy. If you use Briefworth on behalf of a company, you agree to these terms for that company and confirm you’re allowed to do so.

Who can use Briefworth

• You must be at least 18 years old and able to enter into a binding contract.
• Briefworth is built for professional use by freelancers, agencies, and other businesses.
• Give us accurate account details and keep your login secure. You’re responsible for what happens under your account. If you think someone has accessed it without permission, email us at hello@briefworth.com.
• On the Agency plan, the account owner is responsible for the team members they invite and for how those team members use the Service.

What the Service does

You paste in a client brief, such as an email, chat message, or call notes. Briefworth uses AI to break it into deliverables, match each deliverable to an item on your rate card, flag missing requirements, suggest follow-up questions, and draft an editable proposal. You can export the proposal as a PDF or share it by link.

Briefworth is currently in early access. Features may change, and some may be limited or unavailable while we build the product. We may add, change, or remove features. If we remove a feature that’s a main part of a paid plan, we’ll tell you in advance. If we shut down the Service entirely, we’ll give you at least 30 days’ notice and refund any amount you’ve prepaid for time after the shutdown date.

AI-generated content

Briefworth uses AI models from third-party providers, currently Anthropic’s Claude models through the Claude API, to produce deliverable lists, rate card matches, follow-up questions, and proposal text (“Output”).

• Output can be wrong. AI can misread a brief, miss a requirement, match a deliverable to the wrong rate, or write something inaccurate or unsuitable.
• You review everything before you send it. Read and edit every proposal, line item, price, and message before you share it with a client or anyone else. You’re solely responsible for the proposals, quotes, and messages you send, and for any agreement you make with your clients.
• Your prices are yours. Briefworth calculates prices only from the rates you enter on your rate card. We don’t set, recommend, or guarantee prices, and we’re not responsible for whether your rates are right for a job.
• Not professional advice. Output isn’t legal, tax, or financial advice, and a proposal made with Briefworth isn’t a substitute for a contract reviewed by a qualified professional.
• Output may be similar to Output produced for other users. To the extent we have any rights in Output produced for you, we assign them to you.

Your content

“Your Content” means anything you put into or create with the Service: briefs, notes, rate cards, logos, templates, proposals, and similar material.

• You own Your Content. We don’t claim ownership of it.
• You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display Your Content only as needed to provide, secure, and support the Service. This includes sending it to the AI model providers and other service providers listed in our Privacy Policy. This license ends when Your Content is deleted from the Service.
• We don’t sell Your Content, and we don’t use it to train AI models.
• You confirm you have the right to upload Your Content, including permission to share your clients’ briefs with us. If a brief includes personal information about other people, you’re responsible for having a lawful basis to share it. We process that information only to provide the Service to you.
• Anyone who has a proposal’s share link can view that proposal. Treat share links like a document you’ve emailed.

Acceptable use

When you use Briefworth, you agree not to:

• break any law or regulation, or help anyone else do so;
• upload content you don’t have the right to share, or that infringes anyone’s intellectual property or privacy;
• create fraudulent, deceptive, or misleading quotes, proposals, or other documents;
• upload malware, or try to disrupt, overload, or gain unauthorized access to the Service, our systems, or other users’ accounts;
• scrape, copy, reverse engineer, resell, or sublicense the Service, or use it to build a competing product;
• get around plan limits, usage limits, or security measures, including by opening several Free accounts;
• use the Service to send spam or to harass anyone;
• use the Service in a way that breaks the usage policies of our AI model providers, including Anthropic’s Usage Policy.

We may remove content or suspend accounts that break these rules, as described in Suspension and termination.

Plans, billing, and renewal

• Plans and prices. Our plans and prices are listed on our pricing page: Free ($0), Pro ($19 per month), and Agency ($49 per month). All prices are in US dollars.
• Free plan. The Free plan doesn’t require payment details. It includes 3 proposals per month, 1 rate card, and sharing by link.
• Payments through Stripe. Paid plans are monthly subscriptions. Payments are processed by Stripe, our payment processor. We never see or store your full card number. When you subscribe, you authorize us, through Stripe, to charge your payment method the plan price plus any applicable taxes at the start of each billing period.
• Automatic renewal. Your subscription renews automatically every month, on the same day of the month you first subscribed, until you cancel. Each renewal is charged at the plan price in effect at that time.
• Cancellation. You can cancel anytime from your account settings, or by emailing hello@briefworth.com from the email address on your account. Cancelling stops future renewals. You keep your paid plan until the end of the billing period you’ve already paid for, and then your account moves to the Free plan. We don’t charge cancellation fees.
• Changing plans. You can upgrade or downgrade in your account settings. Upgrades start right away, and Stripe shows any prorated charge before you confirm. Downgrades take effect at the start of your next billing period.
• Price changes. If we change the price of your plan, we’ll email you at least 30 days before the new price applies to your subscription, so you can cancel first if you choose.
• Failed payments. If a payment fails, Stripe may try again. If we still can’t collect payment, we may move your account to the Free plan.
• Taxes. Prices don’t include taxes. Where we’re required to collect sales tax, VAT, GST, or similar taxes, they’re added at checkout and shown before you pay.
• Refunds. Refunds are covered by our Refund Policy, which is part of these terms. In short: a full refund within 14 days of your first payment; renewals aren’t refundable; billing errors are always refunded.

Our property

The Service, including its software, design, and the Briefworth name and logo, belongs to ZKN Consulting LLC. While you follow these terms, we give you a limited, non-exclusive, non-transferable, revocable right to use the Service. If you send us feedback or ideas, we may use them without any obligation to you.

Third-party services

The Service relies on third-party providers, such as Stripe for payments and Anthropic for AI models. Their services are subject to their own terms. We choose these providers carefully, but we aren’t responsible for their acts or failures except where the law says we are.

Suspension and termination

• You can stop using Briefworth and delete your account at any time.
• We may suspend or end your access if you seriously or repeatedly break these terms, if the law requires it, or if your use puts us, other users, or third parties at risk. Where it’s reasonable, we’ll tell you first and give you a chance to fix the problem.
• If we end your account for a reason other than your breach of these terms, we’ll refund any amount you’ve prepaid for the rest of your billing period.
• When your account ends, your right to use the Service ends, and we delete Your Content as described in our Privacy Policy. Export anything you want to keep before you delete your account.
• Sections that by their nature should continue after termination, such as ownership, disclaimers, limitation of liability, and governing law, continue to apply.

Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and the accuracy of Output. We don’t promise that the Service will be uninterrupted or error-free, or that any proposal will win work.

Limitation of liability

To the fullest extent the law allows:

• ZKN Consulting LLC won’t be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill, arising from or related to the Service or these terms.
• Our total liability for all claims arising from or related to the Service or these terms is limited to the greater of (a) the amount you paid us in the 12 months before the event that gave rise to the claim, or (b) US$100.

These limits apply whatever the legal theory of the claim. They don’t limit liability that can’t be limited by law, such as liability for fraud or for death or personal injury caused by negligence.

Indemnity

You agree to defend and indemnify ZKN Consulting LLC against third-party claims, and the related costs, that arise from Your Content, the proposals you send, or your breach of these terms or of the law.

Governing law and disputes

• These terms are governed by the laws of the State of Iowa, USA, without regard to its conflict-of-law rules.
• Any dispute arising from these terms or the Service will be heard only in the state or federal courts located in Iowa, and you and we both agree to the jurisdiction of those courts.
• Before starting any legal claim, please email us so we can try to resolve the issue informally. If we can’t resolve it within 30 days, either of us may go to court.
• If you live outside the USA, you keep the protection of any mandatory consumer laws of your home country that can’t be overridden by agreement.
• The United Nations Convention on Contracts for the International Sale of Goods doesn’t apply.

Changes to these terms

We may update these terms. If a change is significant, we’ll tell you by email or in the app at least 14 days before it takes effect. The date at the top of this page shows when the terms last changed. If you keep using the Service after a change takes effect, you accept the updated terms. If you don’t agree, you can cancel before then.

General

• These terms, the Privacy Policy, and the Refund Policy are the whole agreement between you and us about the Service.
• If any part of these terms can’t be enforced, the rest stays in effect.
• If we don’t enforce a right immediately, we haven’t waived it.
• You may not transfer these terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of our business, and we’ll tell you if that happens.
• We may send you notices by email to the address on your account.
• We aren’t responsible for delays or failures caused by events outside our reasonable control, such as outages at our providers, natural disasters, or government action.
